Terms Of Use
The following terms of service (these “Terms of Service”) govern your access to and use of the TalkPro application, including any content, functionality, and services offered on or through TalkPro application (the “App” or “Platform”) by TalkPro Inc. are collectively referred hereto as “TalkPro”, “we” or “us”.
Please read the Terms of Service carefully before you start to use the app. By using the app, opening an account or by agreeing to accept or agree to the Terms of Service when this option is made available to you, you accept and agree to be bound and abide by these Terms and Conditions of Service and our Privacy Policy, found here, incorporated herein by reference. If you do not want to agree to these Terms and Conditions of Service or the Privacy Policy, you must not access or use the app. For more detailed policies surrounding the activity and usage on the app, please access the designated articles herein.
This app is offered and available to users who are 16 years of age or older. If you are under 16 you may not use this site or the TalkPro services. By using this app, you represent and warrant that you are of legal age to form a binding contract and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the app.
Our Customer Support team is available 7 days a week from 8am to 9pm CET, if you have any questions regarding the app or Terms of Service. Contacting our customer support team can be performed by submitting a request at TalkPro Support page.
The original language of these Terms of Service, as well as all other texts throughout the app, is English. TalkPro makes available translations for convenience only. In case of conflicts between the original English version and any translation, the English version shall prevail.
Key Terms
Users who purchase services on TalkPro are referred to as “User(s)”.
Users who provide services on TalkPro to Talkers are referred to as “Pro(s)”.
Appointments are initiated by Users and fulfilled by Pros.
Disputes are disagreements experienced during a transaction between a User and Pro on TalkPro.
Stripe.com is our credit card service provider that provides payment services to Users and Pros in connection with the TalkPro platform, including with respect to the collection of funds from Users in connection with purchases, remittance and withdrawal of funds to Pros, and currency exchange services in connection with payments in local currencies.
Revenue is the money that Pros earn from completed Appointments, subject to the terms and conditions.
Users and Pros
Pros create the Profile page and Services.
Pros define the price and the duration of the Services.
TalkPro will charge a platform fee either monthly or annually.
Revenue transfers are available for Pros on a weekly basis for appointments completed successfully in the respective week.
Pros can initiate Revenue transfers weekly directly to their Stripe connected bank accounts.
For security concerns, TalkPro may temporarily disable a Pro’s ability to accept new appointments to prevent fraudulent, illicit activity or unsatisfactory comportment prior to, during or after appointments, with regards to Users involved. Pros may get Strikes from Users. This may come as a result of security issues or improper behavior reported by Users. After three (3) Strikes, a Pro may be banned from the platform until a review is conducted.
Both Users and Pros have the right to turn off video recording and transcribing of Appointments which are set to on by default. Should User not want to be recorded, they may request it from the Pro. Both Users and Pros may have their audio recording used to create a transcript and summary. These audio recordings are machine read only and deleted once the transcription and summary is completed.
Pros are responsible for paying any direct or indirect taxes, including any Federal, State, GST, VAT, or otherwise, which may apply to them depending on residency or location. Pros represent and warrant that they comply, and will comply at all times, with their obligations under income tax provisions in their jurisdiction. The prices displayed for Appointments is inclusive of all such taxes and charges that may apply to the Pros.
Appointment as Limited Payment Collection Agent: Pros hereby appoint TalkPro as Pro’s limited authorized payment collection agent solely for the purpose of accepting payments (or its Payment Services Provider, as applicable) from User, and remitting those payments to Pro. Pro agrees that payment from User to TalkPro shall be considered the same as a payment made directly to Pro. User’s payment obligation to Pro will be satisfied upon receipt of payment by TalkPro (or its Payment Services Provider, as applicable), and TalkPro’s Payment Services Provider, as applicable is responsible for remitting the funds to the Pro in the manner described in these Terms of Service. In the event that TalkPro’s Payment Services Provider does not remit any such amounts to Pro, the Pro will have recourse only against TalkPro’s Payment Services Provider and not the User directly. Pro agrees that TalkPro may describe or otherwise reflect the terms contained herein in any terms of service, receipts, disclosures, or notices including, but not limited to, receipts provided to Users that TalkPro may deem necessary or prudent.
TalkPro partners with Payment Service Providers for purposes of collecting payments from Users, transferring such payments from Users to Pros, and collecting and transferring platform fees in connection with the TalkPro services. All payments services in connection with the withdrawal of funds on the TalkPro platform are performed by TalkPro’s Payment Service Providers.
Pros are responsible for obtaining a general liability insurance policy with coverage amounts that are sufficient to cover all risks associated with the performance of their services.
Pro Profile
Pros are required to create a profile.
Once the profile is approved, it will be published to the public on the TalkPro apps.
Pros are only allowed to create services for profiles verified by TalkPro. We will be conducting random checks to ensure the services listed are relevant to the business category and TalkPro may temporarily disable the business profile in event of irreverent services found under a profile or if the Pro is found conducting a fraudulent or illicit activity or has not complied with TalkPros rules and regulations which may from time to time be amended. This may come as a result of security issues or improper behavior reported by Users.
Services
Pros are allowed to create services under the profile, only if the profile is approved.
The Pro can upload an image or a short video related to the service.
The Pro should provide clear content that is easy for the User to understand.
The Pro is required to provide the cost per video consultation while creating a service.
TalkPro has the right to charge a platform fee, which will be charged when the Pro joins the platform. TalkPro may also pass along any transaction costs the platform is charged to the Pro for its respective use of the platform.
Termination Clause
These Terms of Use shall remain in full force and effect while you use the Application. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITE OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
